1. Agreement to Terms

By accessing or using the website of Valnora & Elric ("we," "us," or "our") at valnoraelric.com, or by engaging our engineering subscription services, you agree to be bound by these Terms of Service. If you do not agree, do not use our website or services.

2. Services

Valnora & Elric provides senior-led product engineering on a subscription basis. Specific scope, deliverables, pricing, and terms are set out in a separate statement of work or subscription agreement ("Engagement Agreement"). In the event of conflict between these Terms and an Engagement Agreement, the Engagement Agreement prevails for that engagement.

3. Use of the Website

You may use our website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable laws or regulations.
• Attempt to gain unauthorized access to our systems, networks, or data.
• Transmit malware, spam, or any harmful or disruptive content.
• Scrape, harvest, or use automated means to collect content without our consent.

4. Intellectual Property

Content on this website (text, graphics, logos, layout) is owned by Valnora & Elric and is protected by intellectual property laws. You may not copy, modify, or distribute our website content without our written permission.

For work performed under an Engagement Agreement, ownership of deliverables and intellectual property will be as set forth in that agreement. We typically assign all right, title, and interest in custom code and deliverables to you upon payment, subject to the terms of the Engagement Agreement.

5. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with discovery calls, proposals, or engagements. Confidentiality obligations will be detailed in our Engagement Agreement or a separate NDA where applicable.

6. Disclaimer of Warranties

Our website and any information on it are provided "as is" without warranties of any kind, express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of harmful components. Use of our website is at your own risk.

7. Limitation of Liability

To the fullest extent permitted by law, Valnora & Elric shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the website. Our total liability for claims related to the website shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater. Liability for services is governed by the Engagement Agreement.

8. Indemnification

You agree to indemnify and hold harmless Valnora & Elric and its affiliates, officers, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the website or violation of these Terms.

9. Termination

We may suspend or terminate your access to the website at any time for any reason, including breach of these Terms. Provisions that by their nature should survive (including intellectual property, disclaimer, limitation of liability, and indemnification) will survive termination.

10. Changes

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the website after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Valnora & Elric is established, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise agreed in an Engagement Agreement.
