Terms of Service

These terms are between you and Valnora & Elric Private Limited, or the other Valnora & Elric entity named in your order form or agreement. If you accept them for an organization, you confirm that you are authorized to bind it, and "you" means that organization.

Agent Serve is a product of Valnora & Elric Private Limited. In these documents, "Valnora & Elric", "we", "us" and "our" mean Valnora & Elric Private Limited.

Which entity you deal with: if you are a customer, your contract is with the Valnora & Elric entity named in your order form or agreement. If no entity is named, it is Valnora & Elric Private Limited. For visitors to our website and people who contact us or request access, Valnora & Elric Private Limited is responsible for your personal data unless we tell you otherwise.

If your organization has signed a master agreement, order form or other contract with us for Agent Serve, that contract applies and takes precedence over these terms where they differ.

Agent Serve is the AI workspace where teams build, deploy, and manage AI agents, visually, conversationally, or with code. We provide it as a cloud service that we operate, and some customers run it in their own cloud under a separate agreement.

Agent Live and Agent Inbound & Outbound are available by invitation and are provided under a signed agreement with us. Agent CRM and Agent Infinity are upcoming products. They are described on our website for information only and are not available under these terms. Any price shown for an upcoming product, including the tentative Agent CRM figure, is an estimate and not an offer.

We improve Agent Serve continually, so features may change. We will not remove a core feature your organization relies on during a paid term without telling you in advance, unless the law or a security issue requires it.

Elric Works is the engineering arm of Valnora & Elric. It builds products and puts engineers inside client teams. Each engagement, including an Outcome Sprint, is governed by a signed outcome brief, statement of work or other agreement, which sets the scope, the outcome and deadline, fees, ownership of what is built, confidentiality and any refund.

Our website describes the Outcome Sprint and its guarantee in summary. The binding version is the one in your signed outcome brief. Unless that agreement says otherwise, the guarantee covers what we commit to deliver by the deadline, not the business result itself, which also depends on your market and your team.

Some projects shown on our website, including Elric Works case studies, were delivered by our founder, Suryanand Sunil, before Valnora & Elric was formed, and became part of the company’s portfolio when he founded it. Client names, logos and product screens belong to their owners; showing them does not mean those companies endorse Valnora & Elric.

• Accounts are created by invitation. You can ask for access through our request-access form; we decide whether to grant it.
• Keep your sign-in details secure and tell us at once if you think your account has been misused. You are responsible for activity under your account.
• Organization administrators control who can join, their roles, single sign-on, session policies and retention settings. Administrators can see and manage content in their organization.
• Give us accurate account information and keep it up to date.

You must follow our Acceptable Use Policy, which forms part of these terms. In short: use Agent Serve lawfully, do not harm other people or our systems, respect the terms of the AI models and integrations you connect, and do not use it to build a competing product from our service.

You keep all rights to the content you and your organization put into Agent Serve, and to the output your agents produce for you, to the extent the law allows. You give us permission to host, copy, process and transmit that content only as needed to provide, secure and support the service, and as described in our Privacy Policy.

We do not sell personal data, and we do not use your content to train AI models. We offer a Data Processing Agreement (DPA); email systems@valnoraelric.com to request one.

You are responsible for your content and for having the rights and permissions to use it, including any personal data, transcripts or call recordings you upload, and any notices or consents the law requires.

You can export your content while your account is active. After your access ends, we delete it under the retention settings and our Privacy Policy, unless the law requires us to keep it.

Agent Serve uses AI models from third-party providers and, if you choose, your own models. AI output can be inaccurate, incomplete or inappropriate, and the same input can give different results. Review output before you rely on it, especially for legal, financial, medical, employment or safety decisions.

Use the controls Agent Serve provides, such as approvals before external actions, guardrails and run traces. You are responsible for the actions your agents take with your approval or under your configuration.

When you connect an integration or use your own model provider keys, you authorize Agent Serve to exchange data with that service on your behalf. Those services are not ours, their own terms apply, and we are not responsible for how they work.

Agent Serve is sold under enterprise agreements. Fees, usage limits, invoicing and payment terms are set in your order form or agreement. We do not publish a price list, and nothing on our website is an offer to sell at a stated price.

Each of us may share non-public information with the other. The receiving party will use it only for our relationship, protect it with reasonable care, and share it only with people who need to know and are bound by similar duties. This does not cover information that is public, already known, independently developed, or that the law requires to be disclosed.

We work to keep Agent Serve available and secure, but we do not promise it will be uninterrupted or error-free. Unless your agreement includes a service level commitment, we provide the service without one. We may carry out maintenance, and we may limit use to protect the service or other customers.

Agent Serve, Elric Works, our website, our software and our brands belong to Valnora & Elric. These terms give you a right to use the service, not ownership of it. If you send us feedback, we may use it without obligation to you.

You can stop using Agent Serve at any time, and you can delete your own account from your settings. We may suspend or end access if you seriously or repeatedly break these terms, if you do not pay fees that are due, if your use creates a security or legal risk, or if the law requires it. Where reasonable, we will tell you first and give you a chance to fix the problem. Your agreement may set further termination terms.

Sections that by their nature should continue, such as content ownership, confidentiality, disclaimers and limits of liability, survive termination.

Except as stated in these terms or your agreement, and to the extent the law allows, Agent Serve is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from these terms or the service. Any limit on the amount of liability is set in your agreement. Nothing in these terms limits liability that cannot be limited by law.

You will defend and compensate Valnora & Elric against third-party claims that arise from your content or from your use of Agent Serve in breach of these terms or the law.

These terms are governed by the laws of India. The courts at Pune, Maharashtra, have jurisdiction over any dispute arising from them, unless your agreement says otherwise. Mandatory consumer or data protection rights that apply where you live are not affected.

We may update these terms. The date at the top shows the latest version. If a change is significant, we will tell customers in advance. Continuing to use Agent Serve after a change takes effect means you accept it.

If part of these terms cannot be enforced, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these terms without our consent; we may transfer them to a group company or in a reorganization, merger or sale. Neither party is responsible for delays caused by events beyond its reasonable control.
